Investment documentation
The investment agreements decide who controls the company after the round. We review the term sheet with you, work with the investor's counsel on the shareholders' and subscription agreements, and carry the agreed rights into the company's articles and records.
What we handle
- Review of the term sheet and explanation of key terms (valuation, liquidation preference, anti-dilution, board seats, vesting, exits)
- Shareholders' agreement (SHA) and share subscription agreement (SSA)
- Amendment of the articles of association to reflect investor rights
- Conditions precedent and closing checklists
- Board and shareholder resolutions and closing documents
- Post-closing compliance tracker
What we usually need from you
- Term sheet
- Existing articles of association and any earlier investment agreements
Frequently asked questions
Why must investor rights be added to the articles of association?
Rights in a shareholders' agreement that are not reflected in the articles may be difficult to enforce against the company. Investors therefore usually require the articles to be amended as a condition of closing.
